This item is to consider an Agreement by and between West Basin Municipal Water District (“West Basin”) and the Carson Reclamation Authority (“CRA”) for the Construction and Transfer of Ownership of Future Recycled Water Facilities.
II. RECOMMENDATION
Recommendation
1. APPROVE an Agreement by and between West Basin Municipal Water District and the Carson Reclamation Authority for the Construction and Transfer of Ownership of Future Recycled Water Facilities, in a form acceptable to the Authority Counsel.
2. AUTHORIZE the Chairman to execute the Agreement and any related document.

IV. BACKGROUND
West Basin is a wholesale municipal water agency that provides imported drinking water to seventeen cities and unincorporated areas of Los Angeles County, and also produces five types of recycled water for municipal, commercial, and industrial customers. West Basin owns and operates several recycled water treatment facilities and a recycled water pipeline distribution system, including portions of which are located on Main Street.
CRA is currently designing and constructing improvements on portions of the Project Site, and intends to utilize West Basin’s recycled water for purposes of landscape irrigation to serve the future development. CRA currently owns and maintains approximately 950 linear feet of a six (6) inch diameter, polyvinyl chloride (PVC) recycled water distribution pipeline (“Existing Pipeline”) within the Project Site. The Existing Pipeline is connected to West Basin’s recycled water distribution system (“West Basin System”) at the intersection of Lenardo Drive and Main Street in the City, and currently supplies recycled water to two (2) meters within the Project Site for temporary dust control and construction uses. The construction, operation, maintenance and use of the Existing Pipeline and West Basin System are governed by a Memorandum of Understanding, entered into in June 2016 (the “MOU”).
Neither West Basin or the CRA possesses a record of the Existing Pipeline’s final approval records, therefore it is unknown whether the Existing Pipeline has actually been qualified by West Basin to be in compliance with West Basin’s “Standard Specifications for Recycled Water Pipeline Construction” (“Standard Specifications”). West Basin intends to hire a qualified consultant to conduct visual, sonic, sonar, radar, conductivity, and/or pressure testing(s) as necessary to verify the Existing Pipeline’s integrity and compliance with West Basin’s Standard Specifications (“Condition Assessment”) prior to assuming ownership of the Existing Pipeline and incorporating it into West Basin’s recycled water distribution system.
CRA will convey ownership of the Existing Pipeline to West Basin upon the successful completion of the Condition Assessment performed by the West Basin (or its consultants) that the Existing Pipeline meets the Standard Specifications. Upon conveyance of the Existing Pipeline from CRA to West Basin, West Basin shall operate, maintain, and repair the Existing Pipeline in good condition.
CRA also plans to extend the Existing Pipeline by designing and constructing approximately 4,050 linear feet of six inch (6”) diameter distribution pipeline and associated appurtenances (the “Facilities”). All construction, design, permitting, and all other costs or fees related to the construction of the Facilities shall be funded by the CRA.
CRA estimates the time required constructing the Facilities to be approximately 60 calendar days and that construction of the Facilities will begin approximately in January 2020 and end approximately in March 2020. West Basin shall provide construction inspection services by West Basin contractor(s) to verify the proper construction of the Facilities in accordance with all West Basin’s Standard Specifications, and in accordance with all applicable local, state, and federal laws and regulations.
CRA shall furnish an up-front payment in the amount of the Estimated Costs to West Basin for the construction inspection services provided by West Basin prior to the initiation of the construction activities for the Facilities. West Basin’s construction inspection contractor(s) shall primarily be responsible for ensuring that the Facilities are constructed in accordance with West Basin’s Standard Specifications, and that West Basin’s inspections shall not relieve CRA from any design, construction management, and/or inspection tasks during construction of the Facilities.
CRA shall convey ownership of the Facilities to West Basin upon the successful construction of the Facilities, following verification and acceptance by West Basin that the constructed Facilities meet the Standard Specifications. Upon conveyance of the Facilities from CRA to West Basin, West Basin shall operate, maintain, and repair the Facilities in good condition. Also, upon the conveyance of the Facilities from CRA to West Basin, a twelve (12) month Warranty Period shall commence.
CRA intends that the Facilities shall be constructed entirely above the contaminated soils on the Project Site, and that no portion of the Facilities shall be constructed within and/or above the current or former landfill cells, landfill liners, geotextile membranes, or other landfill components. Also, CRA intends that the Facilities shall be constructed entirely within the public right-of-way or within a public utility easement. In the event that the Facilities are not constructed within a public right-of-way or within a public utility easement, CRA shall provide or obtain an easement providing West Basin full access to the Facilities for operation, maintenance, and repair activities at no cost to West Basin, subject to the terms and conditions of this Agreement.
V. FISCAL IMPACT
CRA will bear the financial responsibility for constructing the recycled water system, and paying for design and inspection as well. These costs are estimated at $58,393.76.
