AMENDMENT NO. 1 TO AGREEMENT FOR CONTRACT SERVICES WITH ENVIRONMENTAL SCIENCE ASSOCIATES FOR ON-CALL ENVIRONMENTAL CONSULTING SERVICES (CITY COUNCIL)

I. SUMMARY
In 2016, the City entered into an agreement with Environmental Science Associates (ESA) to conduct on-call environmental consulting services with a total contract amount of $750,000 for three (3) years, not to exceed $250,000 per year. ESA is currently contracted to provide environmental consulting services for various projects in the City, including The District at South Bay Specific Plan Amendment (The District), Inland Star, and Prologis at Dominguez Tech Center. The scope of work for this first contract amendment is to continue to provide on-call environmental consulting services and to fund completed services conducted for The District at South Bay Specific Plan Amendment project (District). The total amended contract amount is $1,516,210.00 for three (3) years.
II. RECOMMENDATION
Recommendation
TAKE the following actions:
1. APPROVE Amendment No. 1 to the Agreement for Contractual Services by and between the City of Carson with ESA in a total amount of $1,516,210.00 for three (3) years (“Agreement”), in a form substantially similar to the attached Agreement, subsequent to potential further negotiation and finalization by the City Attorney; and
2. AUTHORIZE Mayor to execute the Agreement, upon approval as to form, by the City Attorney.

IV. BACKGROUND
ESA was originally retained by the City in 2016 to conduct on-call environmental consultant services for a total of $750,000 for three (3) years, not to exceed $250,000 per year. ESA was contracted to conduct environmental review for various projects for the City. The City anticipates ESA to perform environmental consulting services for new projects in addition to the currently contracted projects.
The scope of the District CEQA review was compressed and resulted in invoices exceeding the annual limit of $250,000.00 for the ESA contract without exceeding their total contract amount of $750,000.00. There are two reasons to amend this contract:
• Increase the current annual limit from $250,000.00 to $816,210.00 to enable the City to pay for services conducted during FY 17-18;
• Increase the total contract amount from $750,000.00 to $1,516,210.00 to enable ESA to complete the CEQA analysis for their existing projects as well as enable them to take on new projects for the duration of the three year term.
V. FISCAL IMPACT
The total amended contract amount will be $1,516,210.00 for three years to pay for CEQA analysis for existing projects as well as future ones. The amended annual limit will be $816,210.00 for the first year of the Agreement, and $350,000 for each of years two and three. It is anticipated that the entire cost of the contract will be paid by deposits from developers.
