CONSIDER RATIFYING APPROVAL OF LICENSED TRAINING PROVIDER AGREEMENT WITH AMERICAN RED CROSS (CITY COUNCIL)

I. SUMMARY
By approving this item, the Council would ratify, via minute action, the former Community Services Director's May 21, 2019 execution of a "Licensed Training Provider Agreement" with the American Red Cross (Exhibit 1) (the "Agreement"), relating to providing the City with access to lay responder/lifeguard/water safety training course materials, thereby enabling City staff trainers to obtain certifications/re-certifications from the American Red Cross and in turn provide training/certifications/re-certifications to members of the public and internal City Personnel using the American Red Cross training course materials.
The City has paid out some $50,000 to Red Cross pursuant to the Agreement since its inception in May of 2019. However, the former Director of Community Services who signed the Agreement had no purchasing authority and signed the Agreement in excess of his authority.
The Agreement, by its terms, is set to expire on May 21, 2022. The City is in need of the continued services of Red Cross under the Agreement, as there are over 200 City Community Services staff members whose certifications have expired due to the COVID shutdown and who are in need of re-certification; the necessary re-certifications can be achieved pursuant to the ratified Agreement.
Staff intends to pursue a new, 3-year contract with American Red Cross for the same or similar services commencing upon expiration of the Agreement, but in the meantime, staff and the City Attorney's office recommend that the Agreement be ratified by the Council effective retroactively as of May 21, 2019, to cement its status as a valid and binding legal obligation of the parties and to enable the City to continue receiving the services from Red Cross until the Agreement's scheduled expiration da...
