CONSIDER APPROVING AMENDMENT NO. 1 FOR CONTRACT SERVICES WITH DEFENDIFY, INC. FOR CYBERSECURITY SECURITY SERVICES (CITY COUNCIL)

 

Body

I.                     SUMMARY

On May 31, 2022, the City entered into a 1 year contract with Defendify, Inc. for cybersecurity services. The City’s contractual obligation has ended and we are looking to continue this very important security service for the City.

By this Amendment No. 1, the City and Defendify now desire to extend the term for an additional three (3) years effective retroactive to May 30, 2023, from May 31, 2023 through May 30, 2026; add additional licenses for compromised password scanning, phishing simulations, and awareness videos; and increase compensation by $74,731.95, for a new total not-to-exceed contract sum of $99,547.95.

II.                     RECOMMENDATION

Recommendation

TAKE the following actions:

 

1.                     APPROVE Amendment No. 1 to Agreement with Defendify, Inc. for cybersecurity services to extend the term for 3 years for an additional amount  not to exceed $99,547.95.

 

2.                     AUTHORIZE the Mayor to execute the amendment after approval as to form by the City Attorney.

IV.                     BACKGROUND

On May 31, 2022, the City entered into a 1 year contract with Defendify, Inc. to assess their online cybersecurity services. The City’s contractual obligation has ended and we are looking to continue this very important security service for the City. Defendify security services helps evaluate the City’s cybersecurity posture, create strong security policies, scans for network vulnerabilities, alerts to cyber threats, produces detailed security reports, trains users, up-to-date on emerging threats, and reveals opportunities for security improvement.

By this Amendment No. 1, the City and Defendify now desire to extend the term for an additional three (3) years effective retroactive to May 30, 2023, from May 31, 2023 through May 30, 2026; add additional licenses for compromised password scanning, phishing simulations, and awareness videos; and increase compensation by $74,731.95, for a new total not-to-exceed contract sum of $99,547.95.

City is permitted to procure these additional services without having to comply with bidding procedures under Section 2611(i)(16) of its Municipal Code because the proposed additional services are for renewal of software licenses already purchased by the City.

Section 2611(i)(16). The City Council has determined that the purchase of the following items shall not require compliance with the bidding provisions of this Chapter, so long as funds have been properly appropriated and such purchases conform with all other requirements of this Chapter:

Renewal of software licenses already purchased by the City.

V.                     FISCAL IMPACT

The cost associated with the 3 year amendment to contract with Defendify, Inc. is not to exceed the amount of $74,731.95 at an annual cost of $24,910.65. The Information Technology division has budget appropriation in the adopted 2023-2024 fiscal year to cover for the first year in the amount $24,910.65. Staff would include the annual cost of the contract ($24,910.65) in the proposed 2024-2025 fiscal year and subsequent years.
