CONSIDER LICENSE AGREEMENT WITH SOUTHERN CALIFORNIA EDISON ("SCE") FOR THE USE OF CERTAIN SCE PARCELS BY THE CITY OF CARSON FOR PARK USES AT HEMINGWAY PARK

I. SUMMARY
SCE and the City of Carson (“City”) are parties to that certain License Agreement (Contract No. 9.1550) (the “License”) through which the City licenses certain property for park and recreation use at Hemingway Park from SCE. This is an instance where the City is the user of property owned by another party, in this case SCE. The previous License expired on June 30, 2023, but was extended until September 29, 2023 to allow further negotiation by the City Attorney’s office on certain contract terms to be made part of a new License Agreement (“New License”). It was intended that the extended License will terminate as of the date City and SCE enter into the New License, provided that occurs prior to expiration of the extended License. There were some small changes in the form proposed by SCE that have resulted in additional time spent on legal review.
The New License has a commencement date of July 1, 2023, and will expire on June 30, 2028. The current License provides for a 5% annual increase in the annual payment, which remains in the New License. The annual payment in 2022 was $3,274.14 and the 2023 annual payment is $3,437.85.
Except for the extension of the term as set forth above, all other substantive terms and conditions of the current License will remain unchanged in the New License.
II. RECOMMENDATION
Recommendation
1. APPROVE the License Agreement with Southern California Edison for the use of certain SCE-owned property at Hemingway Park for park uses, to expire on June 30, 2028.
2. AUTHORIZE the Mayor to execute the License Agreement and any other related documents.

V. FISCAL IMPACT
There is no fiscal impact as the license provisions in the New License are substantially unchanged and remain in force and effect until the expiration date, including the rate of payment increases.
