CONSIDER APPROVAL OF AMENDMENT NO. 1 TO THE AGREEMENT WITH KILEY & ASSOCIATES, LLC FOR FEDERAL LEGISLATIVE ADVOCACY SERVICES (CITY COUNCIL)

I.                     SUMMARY

This item transmits a recommendation for the City Council to approve Amendment No. 1 to the Contract Services Agreement with Kiley & Associates, LLC to (1) exercise both of the City’s one-year options to extend the term of the contract, thereby extending the term by two years beyond the initial three-year term for a total term of five years, and (2) increase the consideration by $120,000 for continuance of federal legislative advocacy services to the City of Carson for the two year extension period.

At its meeting on October 3, 2023, the City Council approved a prior draft Amendment No. 1 that would have authorized a one-year term extension (exercising only the City’s first one-year option) and an increase to the consideration by $60,000. However, the amendment was not slated to take effect until January 29, 2024 (the scheduled expiration date of the initial three-year term) and has not been executed.

Based on the excellent performance that has been provided to the City by Kiley & Associates, this item recommends approval of a two-year extension (exercising both options, including authorizing funding) effective January 29, 2024, in lieu of the one-year extension that was previously approved. The recommended approval would obviate the need for preparation and City Council approval of an Amendment No. 2 to exercise the City’s second option to extend following the first one-year extension period, and would convey a vote of confidence to Kiley & Associates. However, City would of course retain all rights to terminate per the terms of the contract, including the right to terminate without cause at any time upon 30 days’ notice.

At its meeting on January 26, 2021, the City Council approved the original contract with Kiley & Associates for an initial three-year term with two City options to extend for additional one-year periods thereafter, for a not-to-exceed contract sum of $60,000 annually or $180,000 for the initial three-year term. Approval of this item would rescind the previously-approved draft Amendment No. 1 (approved on October 3, 2023) and instead approve the proposed revised draft of Amendment No. 1 to exercise a two-year extension and add $120,000 ($60,000 per year) for the additional years of services, for a grand total of $300,000 over five years.

II.                     RECOMMENDATION

Recommendation

TAKE all of the following actions:

1. RESCIND the City Council’s October 3, 2023, approval of the draft Amendment No. 1 to the Contract Services Agreement with Kiley & Associates, LLC, which that was given pursuant to File ID # 2023-0583;

2. APPROVE the attached proposed draft Amendment No. 1 to the Contract Services Agreement with Kiley & Associates, LLC, to exercise both of the City’s one-year options to extend the term of the contract and increase the Contract Sum by $120,000 to fund the services for the two-year extension period (Exhibit 1; the “Amendment”); and

3. AUTHORIZE the Mayor to execute the Amendment, following approval as to form by the City Attorney.

III.                     ALTERNATIVES

TAKE another action the City Council deems appropriate and that is consistent with applicable laws.

IV.                     BACKGROUND

As detailed in the contract services agreement, Kiley & Associates has supported the City of Carson as follows:

                     Writing and submitting letters of support/opposition for the City of Carson;

                     Working to raise Carson’s profile with the California Congressional delegation, federal agencies, Congress and the Executive Branch;

                     Working to protect Carson’s interests by changing laws or federal regulations;

                     Coordinating with the dedicated day-to-day point of contact on identifying and refining Carson’s top project and policy priorities for the City’s federal agenda such as securing federal and state money for transit projects, roadway expansion, street repairs, tourism, and policy making;

                     Building support for objectives and resources needed from Congress;

                     Targeting key allies and influential lawmakers, Congressional Committees and Executive Branch policy makers;

                     Developing a federal grants strategy and regularly updating the City on federal grant opportunities and issues that are pertinent to the City’s legislative priorities;

                     Representing the City at Congressional and Executive Branch meetings and hearings;

                     Coordinating an annual trip for Carson elected officials and staff to Washington, D.C. to meet with the Congressional delegation, White House officials and key staff in the federal agencies;

                     Coordinating briefings for Carson with the Congressional staff, federal agency officials and other influential private sector political decisionmakers; and

                     Helping with issues that have a federal nexus, including providing comments on federal regulations, connecting City officials to federal agency professionals and providing expertise on federal grant programs.

V.                     FISCAL IMPACT

Approval of this item would continue to encumber $120,000 ($60,000 per year) from the City Manager’s Office budget for Professional Services (101-50-501-100-6004) that has already been budgeted.
